1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Empowered Solutions Ltd ("Company," "we," "us," or "our"), governing your access to and use of the Mobile Policy Advisor Intelligence application and website at mobilepolicyadvisor.com (collectively, the "Service").

By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

MPAI is an AI-powered document intelligence platform that analyzes homeowner's insurance policy documents to assist licensed public adjusters and authorized insurance professionals with:

• Coverage identification and plain-English summaries
• Risk and rejection flag identification
• Claim advocacy language generation

IMPORTANT DISCLAIMER: MPAI is a professional assistance tool. It does not constitute legal advice, insurance advice, or a guarantee of any claim outcome. All analysis outputs are for informational and professional reference purposes only. Users are solely responsible for their professional judgment and all claim decisions.

3. Eligibility and Professional Use

3.1 Professional Requirement

The Service is intended exclusively for use by:

• Licensed public adjusters
• Licensed insurance professionals
• Authorized firm representatives acting on behalf of licensed professionals

By using the Service, you represent and warrant that you are a licensed professional authorized to handle and review insurance policy documents on behalf of your clients.

3.2 Age Requirement

You must be at least 18 years old to use the Service.

3.3 Geographic Restriction

The Service is currently available to users in the United States only.

4. Account Registration

To access the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your password and account credentials
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activity that occurs under your account

We reserve the right to terminate accounts that violate these Terms or that we determine, in our sole discretion, are being used improperly.

5. Subscription and Payment

5.1 Subscription Plans

MPAI offers subscription-based access. Current pricing is displayed on our website and may include:

• Individual adjuster plans (monthly)
• Firm licensing agreements (monthly per seat plus setup fee)
• Founding member rates (as specified at time of purchase)

5.2 Billing

Subscriptions are billed on a recurring monthly basis. You authorize us to charge your payment method on the billing cycle you select.

5.3 Founding Member Rate

Founding member pricing, where offered, is locked for the life of your continuous subscription. If your subscription lapses for any reason and you resubscribe, the founding member rate no longer applies.

5.4 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. No partial refunds are issued for unused portions of a billing period.

5.5 Refunds

All sales are final except where required by applicable law. We may issue refunds at our sole discretion in cases of technical failure preventing access to the Service.

6. Acceptable Use

You agree to use the Service only for lawful professional purposes. You agree NOT to:

• Use the Service to process documents you are not legally authorized to handle
• Share your account credentials with unauthorized users
• Attempt to reverse engineer, decompile, or extract the underlying AI models or software
• Use the Service to generate fraudulent claims or misleading claim documentation
• Violate any applicable federal, state, or local law or regulation
• Upload documents containing malware or malicious code
• Use the Service in any way that could damage, disable, or impair the platform

7. Intellectual Property

7.1 Our Property

The Service, including all software, AI models, algorithms, designs, text, graphics, and content, is the exclusive property of Empowered Solutions Ltd and is protected by applicable intellectual property laws. All rights reserved.

7.2 Your Content

You retain ownership of any documents you upload to the Service. By uploading documents, you grant us a limited, non-exclusive license to process those documents solely for the purpose of delivering your analysis results.

7.3 Analysis Outputs

Analysis outputs generated by MPAI are provided for your professional use. You may use these outputs in your claims practice. You may not resell, redistribute, or sublicense MPAI outputs as a standalone product.

8. Confidentiality

Both parties acknowledge that in the course of using the Service, confidential information may be exchanged. We agree to maintain the confidentiality of your uploaded documents and client information. You agree to maintain the confidentiality of any proprietary information about the Service.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

WE DO NOT WARRANT THAT:

• The Service will be uninterrupted or error-free
• Analysis outputs will be accurate, complete, or suitable for any specific claim
• The Service will meet your specific professional requirements

MPAI ANALYSIS OUTPUTS DO NOT CONSTITUTE LEGAL ADVICE. ALWAYS APPLY YOUR PROFESSIONAL JUDGMENT. WE ARE NOT RESPONSIBLE FOR CLAIM OUTCOMES.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EMPOWERED SOLUTIONS LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOST CLAIM VALUE, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THREE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Empowered Solutions Ltd and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Any claim made by a third party related to your professional activities using MPAI outputs

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Maryland, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in Maryland, except that either party may seek injunctive relief in a court of competent jurisdiction.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by email or through the application. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

14. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms, non-payment, or any other reason at our discretion. You may terminate your account at any time by canceling your subscription and contacting us.

Upon termination, your right to use the Service ceases immediately. Sections 7, 9, 10, 11, and 12 survive termination.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Empowered Solutions Ltd regarding the Service and supersede all prior agreements and understandings.
